Welcome to Drillopedia ("Drillopedia", "we", "us", or "our"), a moderated, volunteer-driven, knowledge-sharing platform dedicated to the upstream oil and gas industry. By accessing or using our platform, you agree to comply with and be bound by the following Terms and Conditions ("Terms"). Please read them carefully. 

1. Acceptance of Terms 

By accessing, browsing, submitting content to, or otherwise using Drillopedia, you acknowledge that you have read, understood, and agreed to be bound by these Terms and all applicable laws. If you disagree, please do not use the Platform. 

2. Nature of the Platform 

Drillopedia offers a platform for subject-matter experts and industry professionals to submit original, non-confidential educational content voluntarily. This includes, but is not limited to, case studies, lessons learned, tools, write-ups, research, and responses to user queries. The platform is moderated and not publicly editable. Drillopedia may publish promotional content that adds value for upstream users. 

3. User Submissions and Content Ownership 

You retain ownership of any content you submit ("User Content") but grant Drillopedia a perpetual, worldwide, royalty-free, sublicensable license to use, host, reproduce, adapt, publish, distribute, and display such content for educational and informational purposes. 

You represent and warrant that: 

  • You own or have rights to all intellectual property in your User Content. 

  • Your User Content is free of confidential information. 

  • Your submission does not infringe on the intellectual property, privacy, or other legal rights of any third party. 

4. Prohibited Conduct 

You agree not to upload, post, or otherwise transmit content that: 

  • Violates any third-party rights or applicable laws. 

  • Is false, misleading, defamatory, obscene, offensive, or harassing. 

  • Contains viruses, malware, or any harmful code. 

  • Constitutes unsolicited or unauthorized advertising or commercial solicitation. 

  • May expose Drillopedia, its users, or its contributors to any liability or harm. 

5. Drillopedia Committee of Practice (DCoP) 

DCoP Members are experienced professionals who volunteer to: 

  • Contribute educational materials. 

  • Review, vet, and enhance submitted content. 

  • Respond to user inquiries. 

By becoming a DCoP (Drillopedia Committee of Practices) Member, you: 

  • Acknowledge that no employment, partnership, agency, or other contractual relationship arises. 

  • Agree that all activities are voluntary and without remuneration. 

  • Consent to internal sharing of your content for peer review. 

  • Disclose any conflicts of interest. 

Drillopedia reserves the right to accept or reject DCoP Member applications without obligation to provide feedback. 

6. Platform Availability and Content Management 

Drillopedia reserves the right to modify, suspend, or discontinue the Platform or any content or features at any time without notice. We are not liable for the deletion or failure to store any content. 

Accounts may be terminated for prolonged inactivity, policy violations, or poor-quality submissions at Drillopedia’s sole discretion. 

7. Mobile Access and Carrier Charges 

Accessing Drillopedia via a mobile device may result in data or other charges from your carrier. You are solely responsible for such charges. 

8. Copyright Infringement and Takedown Policy 

Drillopedia respects intellectual property rights. Claims of infringement must be submitted via email to drillopedia@outlook.com with the subject line “Takedown Request” and include: 

  • Signature of the copyright owner or authorized agent. 

  • Description of the infringing material. 

  • Your contact details. 

  • A good-faith belief statement. 

  • A perjury statement verifying the claim. 

9. Third-Party Links and Services 

Drillopedia may include links to external sites. We do not control and are not responsible for the content, policies, or practices of such third-party services. 

Your interactions with third-party sites are solely between you and the third party. Drillopedia assumes no responsibility for any resulting loss or damage. 

10. Disclaimer of Warranties 

The Platform and all content are provided "AS IS" and "AS AVAILABLE" without warranties of any kind. Drillopedia disclaims all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. 

We do not guarantee: 

  • The platform will be error-free or uninterrupted. 

  • The accuracy or reliability of content. 

  • Those defects will be corrected. 

  • That the Platform is free of viruses or harmful components. 

11. Limitation of Liability 

In no event shall Drillopedia, its affiliates, or contributors be liable for any indirect, incidental, special, consequential, or exemplary damages, including but not limited to loss of profits, goodwill, use, or data, arising out of or in connection with: 

  • Your use or inability to use the Platform. 

  • Unauthorized access to or use of data. 

  • Conduct or content of third parties. 

  • Platform errors or omissions. 

12. Indemnification 

You agree to indemnify and hold harmless Drillopedia, its affiliates, and their respective officers, directors, employees, agents, and representatives from and against all claims, losses, damages, liabilities, costs, and expenses (including attorney's fees) arising out of: 

  • Your use or misuse of the Platform. 

  • Your violation of these Terms. 

  • Any content you submit. 

  • Your infringement of any rights of a third party. 

13. Privacy and Data Usage 

Drillopedia collects and uses personal data in accordance with its Privacy Policy. Data may be used for analytics, service improvement, or shared with third parties for the stated purposes. Cookies may be used with user consent. Users may request data deletion via email. 

14. Modifications to Terms 

We reserve the right to revise these Terms at any time without notice. Continued use of the Platform following updates constitutes acceptance of those changes. Users are advised to review the Terms periodically. 

15. Governing Law and Jurisdiction 

The laws of the Province of Ontario, Canada, govern these Terms and Conditions. Any disputes shall be subject to the exclusive jurisdiction of the courts located in the Province of Ontario.
